End User License Agreement

This agreement is between White Rabbit Automation, a New Jersey company doing business as White Rabbit, of 105 Hillside Blvd, Lakewood, NJ 08701 ("White Rabbit", "we"), and the business that uses the software ("you").

By connecting the software to your QuickBooks Online company, you accept this agreement.

1. What the software does

Once a night it reads the Google Calendar you share with it. For each trip that carries a billing block in the agreed format, it creates an invoice in your QuickBooks Online company and asks QuickBooks to email that invoice to your customer. It then sends you one summary of what it invoiced and what it could not.

2. Licence

White Rabbit grants you a non-exclusive, non-transferable, revocable right to use the software for your own business, for as long as your agreement with White Rabbit is in force. White Rabbit keeps all rights in the software itself.

3. What you may not do

Resell it, sublicense it, or make it available to another business. Reverse engineer it. Use it to reach a QuickBooks company you are not authorised to access. Remove or obscure any notice in it.

4. Access to your accounts

You grant access through Google's and Intuit's own authorisation screens, and you can withdraw that access at any time from within those services. We ask for read-only access to your calendar and accounting access to QuickBooks, and nothing else.

5. Your responsibilities

Read this section. It is the one that matters most.

The software creates real invoices from what you type in your calendar. It does not judge whether an amount is right, whether a trip took place, or whether a customer should be charged at all.

You are responsible for:

  • what you type in your calendar entries;
  • reviewing the invoices it creates. Every invoice is linked in the summary email for exactly that reason;
  • telling us promptly if an invoice is wrong;
  • keeping your Google and QuickBooks accounts secure, and controlling who has access to them.

When the software cannot understand an entry, it does not guess. It leaves the trip uninvoiced and tells you in the next morning's summary, quoting the line that stopped it. A trip left uninvoiced stays that way until you correct the entry.

6. Support

Support is provided as agreed in writing with White Rabbit. You can reach us by replying to any summary email, or at dev@whiterabbit.is.

7. No warranty

The software is provided as is. We do not warrant that it will run without interruption or without error. It depends on Google, Intuit and our hosting provider, and we do not control those services.

8. Limitation of liability

Neither party is liable for indirect, incidental or consequential loss, including lost profits, lost business or lost data, arising out of this agreement.

White Rabbit's total liability under this agreement, for all claims taken together, is limited to the fees you paid White Rabbit for the software in the twelve months before the claim arose.

Nothing in this agreement limits liability that cannot be limited by law.

9. Termination

Either of us may end this agreement on written notice. On termination the software stops running and its access to your accounts is revoked. Invoices it already created remain in your QuickBooks company and are yours. Data held by the connector is handled as described in our Privacy Policy.

10. Governing law

This agreement is governed by the laws of the State of New Jersey, United States. Any dispute will be brought in the courts of Ocean County, New Jersey.

11. Changes

We may update this agreement. Changes are posted on this page with the date at the top updated, and continuing to use the software after that means you accept them.
